Terms of Service

1. Acceptance of Terms

By accessing or using SignalCart ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time, and continued use of the Service constitutes acceptance of the updated Terms.

2. Description of Service

SignalCart provides competitive intelligence software for e-commerce businesses, enabling users to monitor publicly available information on competitor Shopify stores. The Service includes price tracking, product monitoring, signal detection, alert generation, and related analytics features.

SignalCart only monitors publicly accessible web pages and does not circumvent any authentication, rate limiting, or access controls implemented by third-party websites.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must be at least 18 years old to create an account. By registering, you represent that all information provided is accurate and that you have the authority to bind any organization on whose behalf you create an account.

4. Subscription and Billing

SignalCart offers subscription plans billed monthly or annually. By subscribing, you authorize us to charge your payment method on a recurring basis. Prices are subject to change with 30 days notice.

All fees are non-refundable except where required by law or at our sole discretion. If you downgrade your plan, changes take effect at the next billing cycle. If you cancel, you retain access until the end of your current billing period.

5. Acceptable Use

You agree not to use the Service to: violate any applicable law or regulation; infringe on the intellectual property rights of others; transmit harmful, offensive, or misleading content; attempt to gain unauthorized access to any system; interfere with or disrupt the Service; or use the Service for any unlawful purpose.

SignalCart is designed for legitimate competitive research. You agree to use it only for lawful business intelligence purposes and not to harass, harm, or unfairly target competitors.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, incorporated herein by reference. You retain ownership of any data you provide to SignalCart. By using the Service, you grant SignalCart a limited license to use your data solely to provide the Service.

You are responsible for ensuring that your use of monitoring data complies with applicable laws, including data protection regulations in your jurisdiction.

7. Intellectual Property

The Service, including all software, content, features, and functionality, is owned by SignalCart, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

Feedback you provide about the Service may be used by SignalCart without restriction or compensation to you.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SIGNALCART DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE ACCURATE OR COMPLETE.

IN NO EVENT WILL SIGNALCART BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR REVENUES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Termination

You may cancel your subscription at any time through your account settings. SignalCart may suspend or terminate your account for violation of these Terms, with or without notice.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

10. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

11. Miscellaneous

These Terms constitute the entire agreement between you and SignalCart regarding the Service. If any provision of these Terms is held invalid, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of our rights.

You may not assign your rights under these Terms without our consent. We may assign our rights and obligations without restriction.
